Terms and Conditions

These Terms and Conditions govern the use of the RestoFlow platform operated by Restoflow SRL. By creating an account, accessing a dashboard or using available features, you confirm that you have read and accepted these Terms.

RestoFlow is intended for business use. If you act for a company, sole trader, association or other professional entity, you confirm that you may bind that entity. The Romanian version controls if there is any inconsistency with this English version.

The contractual service provider is Restoflow SRL. The operator details are loaded from the public app configuration and must be kept current before production launch.

RestoFlow is restaurant SaaS: QR menus, menu management, table ordering, reservations, staff and waiter workflows, floor plans, offers, operational dashboards, reports, upselling, imports, translations, AI-assisted content and optional social publishing through third-party integrations.

RestoFlow is not a restaurant, food business operator, seller of menu products, processor of guest payments to the restaurant, or party to the relationship between a restaurant and its guests.

The restaurant customer is solely responsible for the legality and accuracy of menus, prices, product availability, allergens, ingredients, nutrition data, images, promotions, reservations, orders and guest communications.

Platform-generated or suggested information must be reviewed before publication. The customer remains responsible for consumer-facing duties, food safety, receipts/invoices to guests, permits, taxes, staff and compliance with laws governing the restaurant activity.

Users must provide accurate information, protect login credentials and manage staff permissions. Actions performed from an account are treated as actions of the account holder or its authorized users.

The service may not be used for fraud, spam, unlawful or misleading content, infringement, security abuse, unauthorized scraping, bypassing subscription limits or unauthorized resale.

Available features depend on the Free, Basic, Pro or Expert plan and active add-ons, including additional restaurant slots. Prices, billing cycles, trials, referral credits and promotions are shown in the billing or checkout flow.

Recurring payments are processed through Stripe Billing/Checkout. Upgrades may create prorations and amounts due immediately; downgrades or moves to Free usually apply at the end of the current period. Non-payment may limit paid features.

For Romanian business customers, fiscal documents and RO e-Factura submission depend on the legal data provided by the customer. The customer must keep tax ID, registration number, address, billing email and VAT status accurate.

Promoters may earn commissions for customers validly attributed through a referral code. The code is personal, may not be used for self-referral and cannot be applied retroactively after paid invoices exist for that customer.

Standard terms are: 10% level 1, 5% level 2, commissionable base from eligible subscription and add-on lines, excluding VAT, taxes, discounts, Stripe fees, manual adjustments and non-subscription items. Commissions arise from paid invoices and may be reversed proportionally after refunds or credit notes.

Payouts are monthly, after a 30-day reserve, with a 100 RON minimum threshold and only after business profile, Stripe Connect/KYC, bank details and referral compliance are valid. RestoFlow may suspend or void commissions for fraud, spam, misrepresentation, artificial traffic or breach of these Terms.

AI features assist with imports, ingredients, allergens, nutrition values, translations, reports, upselling, images and social media text. Outputs are operational suggestions, not certified legal, tax, medical or food-safety advice.

The customer must review and approve outputs before use or publication. Meta and other third-party integrations are optional and remain subject to those providers' terms; the customer is responsible for rights in materials and AI disclosure where required by law.

RestoFlow, its code, designs, workflows and platform materials belong to Restoflow SRL or its licensors. The customer keeps ownership of data, menus, images and content it submits.

The customer grants RestoFlow a limited license to host, process, display, translate, generate, analyze, back up, secure and improve the service. Personal data processing is described in the Privacy Policy, and operational deletion request steps are described in the Data Deletion Instructions.

We may limit, suspend or terminate access for non-payment, breach, security risk, fraud, legal obligations, third-party provider requests or harm to platform operation. The customer may stop using the service and manage its subscription through the available billing area.

Material changes to these Terms will be posted and, where applicable for business users, notified at least 15 days in advance. Exceptions include legal, security, anti-fraud or editorial changes that do not affect the contract.

The service is provided subject to reasonable technical availability. We do not guarantee that the platform will be uninterrupted, error-free or fit for every particular customer purpose.

To the extent permitted by law, Restoflow SRL is not liable for indirect losses, lost profits, data loss caused by third parties, customer business decisions, customer-published content or restaurant obligations to guests. Total liability is capped at fees paid by the customer to RestoFlow in the previous 12 months.

These Terms are governed by Romanian law. The parties will first attempt an amicable resolution within a reasonable period; unresolved disputes will be handled by the competent courts at the operator's registered seat.
